Working With MLWise — What You Should Know
These Terms and Conditions govern the agreement between MLWise and any client who engages our services. By proceeding with a project, you confirm that you have read and agreed to these terms. We have written them to be as clear and fair as possible.
1. Services
MLWise provides AI Solutions, custom enterprise AI solutions, workflow integrations, and related consulting and support services. The specific scope of services for each engagement is agreed upon in writing before work begins, through a proposal or project agreement. Any work outside the agreed scope will be discussed and priced separately before it is carried out. We do not begin out-of-scope work without your explicit approval.
2. Pricing and Payment
We accept INR, USD, EUR, and AED. Prices are quoted and invoiced in the agreed currency. Taxes apply as per your jurisdiction.
- A deposit is required before work begins on any project. The deposit amount will be specified in your proposal.
- The remaining balance is due upon project completion or at agreed milestones, as outlined in your proposal.
- Monthly subscription plans (Basic, Pro, Enterprise) are billed at the start of each billing cycle.
- Invoices not paid within 7 days of the due date may result in a pause of work or suspension of access until payment is received.
- All prices are exclusive of any applicable taxes unless stated otherwise.
3. Revisions
Each plan or project includes a defined number of revision rounds as outlined in your proposal or plan details. A revision is defined as a reasonable set of changes within the originally agreed scope. Requests that change the scope, direction, or core functionality of the solution will be treated as new work and priced accordingly. We will always notify you before proceeding with any billable changes.
4. Timelines and Delivery
We commit to the delivery timelines agreed upon in your proposal. Timelines begin once we have received the required deposit and all necessary information, access, or assets from your side. Delays caused by late provision of required materials, feedback, or approvals from the client may affect the delivery date. We will communicate any impact on timelines as early as possible.
5. Hosting, APIs, and Ongoing Costs
MLWise charges for the development and deployment of your AI solution. Ongoing costs such as cloud hosting, AI API usage (OpenAI, Claude, etc.), and third-party subscriptions are separate and are the responsibility of the client. We will advise you on the expected ongoing costs before your solution goes live so there are no surprises. We always aim to recommend the most cost-effective setup for your usage needs.
6. Intellectual Property
Upon receipt of full payment, the client owns all custom-built components of their solution. This includes custom code, workflows, and configurations developed specifically for your project. MLWise retains the right to use general frameworks, tools, libraries, and methodologies used in the build, as these are not exclusive to any single client. If source code handover is included in or added to your package, this will be delivered as part of the project closure process.
7. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of the engagement. MLWise will not share your business data, processes, or project details with any third party without your prior written consent. We apply this standard to all client relationships and expect the same in return regarding any proprietary tools, methods, or materials we share with you.
8. Data and Privacy
The handling of your personal and business data is governed by our Privacy Policy, which forms part of these Terms. By engaging MLWise, you confirm that you have read and agreed to our Privacy Policy.
9. Support Period
Each plan and project includes a defined post-launch support period. During this time, we will address bugs, technical issues, and questions related to the delivered solution at no additional cost. Support outside this period, or for issues resulting from changes made by the client, is available as an add-on. Extended monthly support is available at 100 USD per month.
10. Cancellation
If you wish to cancel a project after work has begun, the deposit is non-refundable. Any work completed up to the point of cancellation will be invoiced at a fair rate based on the proportion of work delivered. For monthly subscription plans, you may cancel at any time. Cancellation takes effect at the end of the current billing cycle. No partial refunds are issued for unused days within a billing period.
11. Limitation of Liability
MLWise delivers solutions with care and professionalism. However, we cannot be held liable for indirect losses, loss of revenue, or business outcomes resulting from the use or performance of delivered solutions. Our total liability in any dispute is limited to the amount paid by the client for the specific service in question.
12. Amendments to These Terms
We may update these Terms and Conditions periodically. The version in effect at the time your project begins or your plan renews will apply to that engagement. We will notify active clients of any significant changes.
13. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Any disputes that cannot be resolved amicably will be subject to the jurisdiction of the relevant UAE courts.
14. Questions
If anything in these Terms is unclear, please reach out before you proceed. We would rather answer your questions upfront than have misunderstandings later.
